Please read these Terms of Service carefully before using the ChainPilot platform. By accessing or using our service, you agree to be bound by these terms. If you do not agree to these terms, do not use the service.
1. Definitions
In these Terms of Service:
- "ChainPilot", "we", "us", "our" refers to C Holding Group, LLC, a Wyoming limited liability company, the operator of the platform
- "Platform" refers to the ChainPilot supply chain management application, website and all related services
- "Client", "you", "your" refers to the individual or business that has applied for and been granted access to the platform
- "Subscription" refers to your paid access plan (Starter, Pro or Pilot)
- "Content" refers to data, documents, files and information you upload or connect to the platform
2. Eligibility
You may create an account and start using ChainPilot directly. By registering you confirm that:
- You are at least 18 years of age
- You are using the platform for business purposes, not as a consumer
- You have the legal authority to enter into this agreement on behalf of your business
- The information you provide when registering is accurate and kept up to date
ChainPilot is built for businesses selling on Amazon FBA and/or Shopify that source products from suppliers. You are welcome to use it outside that profile, but some features may be less useful to you.
We reserve the right to suspend or decline service to any account at our sole discretion, including where use breaches these Terms.
3. Account and onboarding
When you create an account:
- You choose your own login credentials during registration
- Access to the platform begins immediately, subject to the plan you select
- You agree to keep your login credentials secure and not share them with unauthorised parties
- You are responsible for all activity that occurs under your account
- You must notify us immediately of any unauthorised use of your account
4. Subscription plans and pricing
ChainPilot is offered on the plans published at chainpilot.app. The plan you select at registration, its price and its inclusions are shown to you before you confirm payment, and are the terms that apply to your subscription.
All prices are in USD and exclude applicable taxes. Pricing is subject to change with 30 days written notice to active subscribers. Any change takes effect no earlier than the end of your current paid period.
4.1 AI-dependent pricing
ChainPilot relies heavily on artificial intelligence in the background to power its supply chain automation, and our ability to provide the platform depends on our continued access to third-party AI models and APIs. Because of this, our pricing is directly tied to, and subject to change based on, the cost and availability of AI services in the market. Should AI market prices change such that we need to adjust our subscription fees, we will always notify active subscribers at least 30 days in advance of any such change taking effect.
4.2 Free trial
New accounts begin with a 7-day free trial. The trial includes the features of
the Pro plan at no charge and does not require a payment method to start.
- The trial runs for 7 days from the moment the account is created
- No payment method is collected to begin the trial, and no charge is made during it
- The trial does not convert into a paid subscription automatically — at the end of the 7 days, access to the platform pauses until you choose a plan and enter a payment method
- You are charged only once you select a plan and confirm payment; billing then follows Sections 5 and 6
- One trial per business. We may decline or end a trial where it is being used to circumvent paid access
5. Payment terms
- Subscriptions are billed monthly in advance on the date your subscription begins
- Payment is processed via our secure payment provider (Stripe)
- All fees are non-refundable except as expressly stated in Section 9 (Cancellation and Refunds)
- If payment fails, we will notify you and provide a 7-day grace period to update payment details
- After the grace period, access to the platform may be suspended until payment is resolved
- You are responsible for any applicable taxes in your jurisdiction
6. Billing period
Subscriptions are billed monthly in advance and run month to month. There is no minimum term, no long-term contract and no cancellation fee — you may cancel at any time, as described in Section 9.
7. Permitted use
You may use the platform to:
- Manage inventory forecasting and reorder planning for your own business
- Track shipments and manage supplier communications for your own orders
- Generate cash flow forecasts and P&L reports for your own business
- Manage purchase orders and payment workflows with your own suppliers
You may not:
- Share your account access with third parties outside your organisation
- Use the platform to manage supply chains for businesses other than your own without a separate agreement
- Reverse engineer, copy or attempt to replicate the platform or its underlying technology
- Use the platform for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorised access to any part of the platform or its infrastructure
- Upload malicious content, viruses or any code designed to disrupt the platform
- Resell, sublicense or otherwise commercialise access to the platform
8. Third-party integrations
8.1 Amazon Selling Partner API
To use Amazon-connected features, you must authorise our application through Amazon's standard OAuth flow. By doing so:
- You confirm you have the right to authorise access to the relevant Seller Central account
- You agree to our use of that data as described in our Privacy Policy and Data Protection Policy
- You can revoke access at any time through Amazon Seller Central
- We are not responsible for any changes Amazon makes to its API that affect our service
8.2 Shopify
To use Shopify-connected features, you must install our app through the Shopify App Store or authorise via OAuth. The same principles apply as above.
8.3 Purchase order workflow
ChainPilot provides an automated purchase order workflow to help you manage inventory replenishment. The following terms govern how this workflow operates:
- Recommendations only: ChainPilot calculates and suggests reorder quantities based on your sales velocity and days of cover settings. These are recommendations only — you retain full control over whether to place any order.
- Explicit client approval required: No purchase order is ever sent to a supplier without your explicit approval. You must review and confirm every order before it is transmitted. By approving an order you accept full responsibility for that purchasing decision.
- Sent on your behalf: When you approve a purchase order ChainPilot sends it to your supplier strictly as your agent and on your explicit instruction. The purchase order clearly identifies you as the purchasing party. ChainPilot is not a party to any resulting contract.
- Invoices addressed to you: All supplier invoices must be sent directly to you at your own email address. ChainPilot instructs suppliers to address all invoices and correspondence to you directly — not to ChainPilot. If you choose to forward a copy of an invoice to your ChainPilot forwarding address, ChainPilot reads that forwarded copy solely to notify you and update your dashboard. ChainPilot never connects to, or signs in to, your email account.
- No payment facilitation: ChainPilot does not process, hold, route or facilitate payments of any kind. All payments are made directly between you and your suppliers outside of ChainPilot entirely. ChainPilot never handles, receives or transmits funds.
- Document storage: Payment proofs, invoices and shipping documents you upload or that are automatically filed via email forwarding are stored securely in your account for your reference only. ChainPilot does not verify, validate or take any responsibility for the accuracy or authenticity of any document.
- Not a contracting party: ChainPilot is not a party to any transaction, purchase order, contract or agreement between you and your suppliers, freight forwarders or inspection companies. All commercial relationships exist solely between you and those third parties.
- No liability for supplier actions: ChainPilot is not responsible for supplier performance, product quality, pricing, freight delays, customs issues or any outcome of your supplier relationships.
- No liability for recommendations: ChainPilot is not responsible for stockouts, overstock situations, financial losses or any business impact arising from reorder recommendations, inventory calculations or alerts provided by the platform. You are solely responsible for all purchasing decisions.
8.4 Supplier invoice notifications
When you forward a supplier invoice to your ChainPilot forwarding address and ChainPilot detects it:
- Notification only: ChainPilot notifies you that an invoice has been received and displays relevant details (amount, supplier, due date) in your dashboard. This is a convenience notification only.
- Invoice addressed to you: The invoice is always addressed to you directly as the purchasing party. ChainPilot is never named as the invoiced party.
- Payment is your responsibility: You are solely responsible for verifying invoice accuracy, approving payment and making payment directly to your supplier. ChainPilot plays no role in the payment process.
- Document filing: ChainPilot may automatically file a copy of the invoice in your account under the relevant purchase order for your records. Original invoices remain in your email account.
9. Cancellation and refunds
9.1 Cancellation by you
- You may cancel at any time from Account settings → Billing, or by emailing hello@chainpilot.app. No notice period is required.
- You will retain access until the end of your current billing period, and no further payments will be taken
- No refund is issued for partial months
- Your data will be retained for 90 days after cancellation, after which it will be permanently deleted
9.2 Cancellation by us
We may terminate your account with 30 days notice for any reason. We may terminate immediately if:
- You breach these Terms of Service
- You fail to pay after the 7-day grace period
- We reasonably believe your use poses a security or legal risk
In the event of termination by us without cause, we will provide a pro-rata refund for the unused portion of your current billing period.
9.3 Refund policy
We offer a full refund within 7 days of your first payment if you are not satisfied with the onboarding experience and have not yet connected any integrations. No refunds are issued after the 7-day period except as required by applicable law.
10. Intellectual property
10.1 Our IP
The ChainPilot platform, including its software, design, algorithms, inventory models and all related intellectual property, is owned exclusively by C Holding Group, LLC. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for the purposes described in these Terms. You do not acquire any ownership rights.
10.2 Your data
You retain full ownership of all data you upload to or connect with the platform, including your inventory data, product information, supplier details and business data. We claim no ownership of your data. You grant us a limited licence to process your data solely to provide the service.
10.3 Feedback
If you provide feedback, suggestions or ideas about the platform, you grant us the right to use that feedback without obligation or compensation to you.
11. Confidentiality
Both parties agree to keep confidential any non-public information shared in the course of using the platform or receiving services. This includes your business data, supplier relationships, pricing and operational details. We will not disclose your confidential information to any third party except as required to provide the service or as required by law.
12. Limitation of liability
Important: Please read this section carefully as it limits our liability to you.
The platform is provided to help you make better supply chain decisions. However:
- Inventory forecasts, reorder recommendations and cash flow projections are estimates based on historical data — they are not guarantees of future performance
- We are not responsible for stockouts, overstock situations, supplier failures, freight delays or any business losses arising from decisions made using the platform
- We are not responsible for the actions of your suppliers, freight forwarders or inspection companies
- Our total liability to you for any claim arising from use of the platform shall not exceed the total fees paid by you in the 3 months preceding the claim
- We are not liable for any indirect, incidental, special or consequential damages including lost profits, lost data or business interruption
13. Service availability
- We aim to maintain 99% uptime but do not guarantee uninterrupted service
- Scheduled maintenance will be communicated at least 24 hours in advance where possible
- We are not liable for downtime caused by third-party services (Amazon API, Shopify API, internet infrastructure)
- In the event of extended outages (more than 48 consecutive hours), we will provide a pro-rata credit on your next invoice
14. Indemnification
You agree to indemnify and hold harmless ChainPilot and its officers, directors, employees and agents from any claims, damages, losses or expenses (including reasonable legal fees) arising from:
- Your use of the platform in violation of these Terms
- Your violation of any applicable law or regulation
- Any dispute between you and your suppliers, freight forwarders or other third parties
- Any inaccurate information you provide to us or enter into the platform
15. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA. Any dispute arising from these Terms or your use of the platform shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in the State of Wyoming, USA before resorting to litigation.
16. Changes to these terms
We may update these Terms of Service from time to time. We will notify active clients by email at least 30 days before material changes take effect. Continued use of the platform after the effective date of changes constitutes acceptance of the updated terms. If you do not agree to the changes, you may cancel your subscription in accordance with Section 9.
17. Entire agreement
These Terms of Service, together with our Privacy Policy and Data Protection Policy, constitute the entire agreement between you and ChainPilot regarding your use of the platform, and supersede any prior agreements or understandings.
18. Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
